Terms of service

These terms are an agreement between you and Counterfact Labs, Inc., a Delaware corporation ("Counterfact", "we"). By creating an account or using Counterfact, you agree to them. If you use Counterfact for a company, you agree on its behalf and confirm you may do so. Customers with a signed order form are governed by that agreement where it differs from these terms.
The service.
Counterfact analyzes AI agents you send it, such as prompts, tool definitions, and code, and reports problems it finds. Findings are produced with the help of AI models. They can be wrong or incomplete, and you decide what to change. Counterfact doesn't run your agent in production or change your code unless you ask it to.
Your account.
Keep your sign-in secure. You are responsible for what happens in your account. One free analysis is offered per person. Creating extra accounts to get more is not allowed.
Your content.
You keep all rights to the files and data you send ("your content"). You give us permission to store and process your content only to provide the service to you. You confirm you have the right to send it. Don't send content you aren't allowed to share, or secrets such as passwords and keys; the tools skip common secret files, but you remain responsible.
Acceptable use.
Don't use Counterfact to break the law, attack or overload the service, get around limits or payment, or reverse engineer it to build a competing product.
Prices and payment.
Prices are listed on the product page and shown before each analysis. You pay in advance by topping up a balance. An analysis's price is held when it starts and charged only if it finishes. A fix works the same way, except that its price is shown before it starts and charged only if it opens a pull request. Payments are processed by Stripe, which acts as the merchant of record and may add tax. We may change prices for future analyses with notice on the product page; a price shown to you before an analysis is the price you pay for it.
Refunds.
You can ask for a refund of unused balance within 30 days of the top-up by writing to hello@counterfactlabs.com. Balance already spent on finished analyses isn't refundable. Analyses that fail are never charged. The free analysis has no cash value. If a payment is refunded or reversed after the balance was spent, your balance may go below zero, and new paid analyses wait until it is topped up.
Ending.
You can stop using Counterfact at any time and ask us to delete your account. We may suspend or close an account that breaks these terms, and will tell you why where we can. Unused balance on an account we close without cause is refunded.
Disclaimers.
Counterfact is provided "as is". To the extent the law allows, we make no warranties, express or implied, including that findings are complete or correct, or that the service will be uninterrupted.
Liability.
To the extent the law allows, neither party is liable for indirect or consequential losses, and our total liability for any claim is limited to the amount you paid us in the 12 months before it.
Changes.
We may update these terms. We'll post the new version here with a new date, and tell account holders by email about material changes. Continuing to use Counterfact after that means you accept them.
Law.
These terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules.
